How to become a Corporate Legal Officer
Also called: Legal affairs clerk
Handles the legal issues a company faces, such as keeping the legal risks of its business as low as possible.
Main tasks
- Drafting and reviewing business contracts and taking part in negotiating them
- Managing property, such as collateral and construction projects
- Managing intellectual property, such as obtaining licences and permissions and searching trademarks
- Responding to legal questions from departments and handling lawsuits and disputes
- Supporting the general affairs department on the legal side of shareholders' meetings and board meetings
- Issuing and managing securities, paying dividends and reporting to the stock exchange
- Running training and study sessions for staff and group companies, starting with new staff
- Building and maintaining corporate governance, such as internal controls and compliance programmes
- Auditing the company's own operations
- Consulting the company's lawyers and outside experts and negotiating with government offices
- Researching and analysing trends in legislation and court decisions and feeding them back within the company
- Gathering information on law changes
- Advising company management from a legal point of view
- Handling legal work for overseas business
- Collecting debts
- Handling work related to mergers and acquisitions
- Reviewing advertisements
- Handling the paperwork for applying company seals

How to become one
No particular education or qualification is required for this job, but almost everyone has a university or postgraduate degree. By far the most common field of study is law, but some come from other arts or science fields. The main routes are transfer from other departments and placement as a new graduate; few are hired mid-career. Overall, the larger the company, the lower the share of mid-career hires, and the stronger the tendency to place people in the legal department from the start and develop them as legal specialists who do not move to other departments. People who transfer from other departments have worked in many areas, such as sales, general affairs, HR and employment, and accounting and finance. After being assigned, people are trained through on-the-job learning, department seminars and workshops, and outside courses. Some companies send staff to law schools overseas or to train at overseas group companies. It usually takes around eight years to work independently. You need not only broad and deep legal knowledge but also the ability to apply it in practice to reach solutions (spotting problems, analysis, balance, strong communication skills and business sense), the drive to act and the strong will and flexibility to see things through. English is essential even if you handle domestic matters.
