How to become a M&A Adviser
Uses specialist legal, financial and other skills to manage the progress of mergers and acquisitions (M&A), from choosing the target company or business to negotiating and signing the deal.
Main tasks
- Managing project progress
- Supporting the corporate planning department and others in setting business and M&A strategy
- Advising companies considering M&A
- Identifying and evaluating sellers (or buyers) that fit the M&A strategy or the client's needs and narrowing down target companies
- Evaluating M&A deals brought in by investment banks and others
- Approaching shortlisted targets and discussing whether a deal is possible
- Negotiating with sellers (or buyers) and signing a letter of intent (LOI) when both sides agree to start full negotiations
- Working with lawyers, certified public accountants and other specialists on due diligence (DD) to judge whether the company is worth acquiring
- Valuing the company to set the purchase price based on the due diligence results
- Raising finance for the deal (negotiating with financial institutions)
- Negotiating the purchase price based on due diligence and valuation, and signing the sale agreement once agreed
- Handling public relations and investor relations for the deal
- Handling procedures such as transfer of ownership, payment and merger
- Carrying out post-merger integration (PMI) to deliver the benefits of the deal, such as hiring and keeping key people (president, CFO and so on)
- Reporting on negotiations to the company (such as the corporate planning department) at key stages and asking for instructions
- Preparing the documents needed at each stage

How to become one
No particular education or qualification is required for this job, but almost everyone has a university or postgraduate degree. What matters most, however, is practical experience and deep specialist knowledge. So almost everyone is hired mid-career. Building on that experience and knowledge, people handle many M&A deals, gain the knowledge, skills and know-how needed, such as negotiation and consensus building, and build a network of related experts as they grow in the role. It is therefore not easy for people without experience to build M&A experience, but recently some firms have started hiring new graduates and developing them in-house. You are seen as fully capable once you can handle the whole M&A process alone, from initial review through negotiation to completion, which is said to take five to eight years. People are said to use their M&A experience at one organisation to move to M&A manager, consultant or adviser roles at other firms, or to become management consultants. M&A moves large sums of money within set deadlines in ever-changing economic conditions, so strict compliance is needed: meeting deadlines, managing information, fairness and accountability. You also need logical thinking, specialist knowledge equal to that of the experts inside and outside the company (management, finance, accounting, tax, business law and so on), the ability to combine that knowledge and apply it in practice, communication skills for dealing with many people, and sharp insight and judgement in negotiations. Reading comprehension and language skills (English) for understanding overseas business are also essential.
